1. Agreement to terms

These Terms of Service (the "Terms") constitute a binding legal agreement between you (the "User", "you", or "your") and Aide Tech Systems, a sole-proprietorship enterprise registered as a Micro/Small Enterprise on the Udyam Registration Portal of the Ministry of Micro, Small and Medium Enterprises, Government of India (the "Enterprise", "we", "us", or "our"). The Terms govern your access to and use of ProjectsPilot (the "Product"), an offering of the Enterprise, available through the website at projectspilot.com, its sub-domains, and any related mobile or web application (collectively, the "Platform") and any services made available through it (the "Services").

Aide Tech Systems is the legal entity contracting with you. It is not yet incorporated as a private limited company under the Companies Act, 2013; should the Enterprise be converted into a company or otherwise restructured in future, these Terms will be updated to reflect the successor entity and you will be notified per Section 19.

By accessing or using the Platform, by clicking any "I agree", "Sign up", or equivalent button, or by completing sign-up or sign-in (including via Google), you irrevocably represent that (a) you have read, understood and accept these Terms together with our Privacy Policy and Refund and Cancellation Policy; (b) you are entering into this agreement on your own behalf or, where you purport to act on behalf of another natural or legal person, you are duly authorised to bind that person; and (c) you have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872.

If you do not agree with any provision of these Terms, you must not use the Platform.

2. Definitions

In addition to terms defined elsewhere, the following words have the meanings set out below:

  • "Account" means the unique account created for you on the Platform.
  • "AI Tutor" means the conversational AI feature on the Platform powered by third-party large language model providers.
  • "Content" means any text, images, audio, video, data, or other material made available on or through the Platform.
  • "Subscription" means a paid plan purchased by you for access to features beyond the free tier.
  • "User Content" means notes, flashcards, comments, mock-test answers, AI Tutor inputs, and any other Content you create, upload, or submit to the Platform.

3. Eligibility

You may use the Platform only if you are at least eighteen (18) years of age. If you are between the age of majority where you reside and eighteen, you may use the Platform only with the prior written consent of a parent or lawful guardian, which we may request you to evidence. We do not knowingly create accounts for persons under the age of eighteen and reserve the right to suspend or terminate any Account where we have reason to believe the User does not meet the eligibility criteria.

You further confirm that you are not a person debarred from receiving services under the laws of India or any other applicable jurisdiction.

4. Account creation and security

To use the full Platform you must create an Account via Google sign-in. At signup we also collect your name, email address, mobile phone number, and basic postal address (city, state, country) for service delivery, invoicing, and compliance purposes; we may verify your mobile number by one-time password (OTP).

You agree to (a) provide accurate, current, and complete information; (b) maintain and promptly update it; (c) keep your authentication credentials, including OTPs and any session tokens, confidential; and (d) accept responsibility for all activity that occurs under your Account, whether or not authorised by you. You will notify us immediately at security@projectspilot.com of any unauthorised use of your Account.

We are not liable for any loss or damage arising from your failure to comply with this Section.

5. The Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform for the personal, non-commercial purpose of preparing for the Union Public Service Commission Civil Services Examination (UPSC CSE) and such other competitive examinations as may be added to the Platform from time to time.

The Services include, depending on your plan: AI Tutor conversations, AI-curated study plans, current-affairs deep dives, AI-graded mock tests, spaced-repetition revision tools, study materials, and notification preferences. Specific features are subject to the limits set by your Subscription plan as published on the Pricing page from time to time.

6. Acceptable Use Policy

You agree not to, and not to permit any third party to:

  • Use the Platform for any unlawful purpose, in violation of any law of India or any other applicable jurisdiction, or for any purpose harmful to a person or property.
  • Impersonate any person or misrepresent your identity, age, or affiliation.
  • Share, transfer, sub-license, or commercialise your Account credentials, including by allowing more than one natural person to use a single Account.
  • Access the Platform by automated means, including bots, scrapers, headless browsers, or any unauthorised application programming interface, except as we expressly permit in writing.
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or operational logic of the Platform.
  • Extract, harvest, scrape, mirror, or systematically download any portion of the Platform Content, including for the purpose of training a competing model or building a competing product.
  • Interfere with, disrupt, overload, or attempt to gain unauthorised access to the Platform, any related system or network, including by way of any denial-of-service attack, distributed denial-of-service attack, or any form of penetration testing without our prior written authorisation.
  • Use the AI Tutor or any other feature to generate or distribute content that is unlawful, obscene, defamatory, threatening, harassing, hateful, or that infringes the intellectual-property rights of any person.
  • Use the Platform to engage in academic dishonesty in any examination administered by UPSC or any other body, including by sharing the Platform's content during an examination.
  • Circumvent any usage limits, plan restrictions, or rate-limits enforced by the Platform, or attempt to do so.
  • Misrepresent any output of the Platform as the work of a human author for an examination, employer, or other party that requires the work to be your own.

Breach of this Section may result in immediate suspension or termination of your Account, forfeiture of any unused Subscription period (subject to our Refund Policy), and may give rise to civil or criminal liability.

7. Subscriptions, pricing and payment

7.1 The Platform offers a free tier and one or more paid Subscription plans as published on the Pricing page. Prices are in Indian Rupees (INR) and the published price is the total amount payable — no additional tax is added at checkout. Aide Tech Systems is not registered for Goods and Services Tax at present; should that position change in future, prices will be updated and notified per Section 7.4 before any tax becomes payable on top of the listed amount.

7.2 Recurring Subscriptions auto-renew at the end of each billing period (monthly or annual) unless cancelled before the renewal date. You authorise us and our payment processor (Razorpay) to charge your registered payment instrument for each renewal. We will send a renewal reminder to your registered email at least three (3) days before the renewal date.

7.3 Failure of a renewal charge (for example, due to expired card or insufficient funds) may result in suspension or downgrade of your Account to the free tier. We may attempt the renewal up to three (3) times within ten (10) days; thereafter the Subscription will lapse.

7.4 We may revise our pricing from time to time. Material price changes will be notified to existing paying Subscribers by email at least fifteen (15) days before they take effect. If you do not accept the change, you may cancel before the effective date and receive a full refund of the most recent billing period.

7.5 You are responsible for all telecommunication, data, and any other third-party charges that you may incur while using the Platform.

8. Cancellation and refunds

Cancellation and refund mechanics are governed by our Refund and Cancellation Policy, which is incorporated into these Terms by reference and which you have accepted by accepting these Terms. In summary, you may cancel any recurring Subscription at any time, with access continuing until the end of the paid billing period. We do not offer a blanket money-back guarantee; refunds are handled on the grounds set out in the Refund Policy. See the Refund Policy for the full terms.

9. Intellectual property

9.1 The Platform, including its software, design, layout, brand marks, logos (including "ProjectsPilot" and "Aide Tech Systems"), curated curriculum, study plans, current-affairs analyses, mock-test question banks, illustrations, audio narrations, and all other Content created by or for us (collectively, the "Enterprise IP") is and remains the sole and exclusive property of Aide Tech Systems. The Terms do not grant you any ownership rights in the Enterprise IP. All rights not expressly granted to you are reserved.

9.2 Subject to your continued compliance with the Terms, we grant you a limited, personal, revocable, non-transferable, non-sublicensable, non-exclusive licence to use the Enterprise IP solely for your personal, non-commercial study purposes through the Platform.

9.3 You agree that you will not, directly or indirectly, modify, copy, distribute, publish, transmit, display, perform, reproduce, license, create derivative works from, transfer, or sell any of the Enterprise IP except as expressly permitted by these Terms.

10. User Content

10.1 You retain all rights you have in your User Content. You confirm that you own or have all necessary rights to submit the User Content and that it does not infringe any third party's rights or applicable law.

10.2 You grant us a worldwide, royalty-free, non-exclusive licence to host, store, copy, process, transmit, and display your User Content solely to the extent necessary to provide the Services to you and to operate, secure, debug, and improve the Platform. This licence ends when you delete the User Content or your Account, save where retention is required by law.

10.3 We may use de-identified, aggregated statistical information derived from usage of the Platform for the purpose of improving our Services and reporting on platform-wide performance. Such derived information does not identify you.

11. AI-generated Content; no advice

11.1 Significant portions of the Platform — including AI Tutor responses, topic curricula, mock-test questions and explanations, current-affairs deep dives, and AI-graded feedback — are produced or augmented by large language models. AI-generated Content may be inaccurate, incomplete, outdated, or otherwise unfit for any particular purpose. You should independently verify any factual claim or recommendation before relying on it for any consequential decision.

11.2 The Platform does not provide professional legal, medical, financial, or career advice and must not be used as a substitute for any such advice. The Platform is not affiliated with the Union Public Service Commission or any other examining authority.

11.3 We do not guarantee any specific examination rank, score, qualification, admission, employment, or other outcome. Past Subscriber results, if any are published, are illustrative and do not constitute a representation of likely future results.

12. Third-party services

The Platform integrates third-party services including AI providers (Anthropic and OpenAI), payment processing (Razorpay), authentication (Google), and cloud hosting. Your use of those services through the Platform is subject to the third party's own terms and privacy practices. We are not responsible for the acts or omissions of any third party.

13. Privacy

Our collection, use, and processing of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

14. Suspension and termination

14.1 You may terminate your relationship with us at any time by closing your Account through Settings → Account. Termination by you does not entitle you to a refund except as provided in the Refund Policy.

14.2 We may suspend or terminate your Account, in whole or in part, with or without notice, where we reasonably believe that (a) you have breached these Terms or the Acceptable Use Policy; (b) continued provision of the Services to you would expose us to legal, regulatory, or reputational risk; (c) you have failed to pay any amount due; or (d) it is otherwise required by law, court order, or governmental authority.

14.3 On termination, your right to access the Platform ceases immediately. Sections that by their nature should survive termination (including intellectual property, indemnification, limitation of liability, dispute resolution, and these miscellaneous provisions) will so survive.

15. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM, ITS CONTENT AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE ENTERPRISE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, TIMELINESS, OR THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.

NOTHING IN THIS SECTION LIMITS OR EXCLUDES ANY RIGHT OF A CONSUMER UNDER THE CONSUMER PROTECTION ACT, 2019 OR ANY OTHER NON-EXCLUDABLE STATUTORY RIGHT.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIDE TECH SYSTEMS, ITS PROPRIETOR, EMPLOYEES, AGENTS, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF GOODWILL, LOSS OF EXAMINATION OUTCOME, LOSS OF DATA, OR LOSS OF USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND WHETHER OR NOT THE ENTERPRISE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM, REGARDLESS OF THE FORM OF ACTION, IS LIMITED TO THE AMOUNTS YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR INR 5,000, WHICHEVER IS HIGHER.

NOTHING IN THIS SECTION EXCLUDES OR LIMITS LIABILITY FOR (A) DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (C) ANY OTHER LIABILITY WHICH CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

17. Indemnification

You agree to indemnify and hold harmless Aide Tech Systems, its proprietor, employees, agents, and contractors from and against any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or in connection with: (a) your breach of these Terms; (b) your User Content; (c) your use of the Platform in violation of applicable law; or (d) your infringement of any right of any third party.

18. Force majeure

Neither party shall be liable for any failure or delay in performance under these Terms (other than the obligation to make payment of amounts due) to the extent such failure or delay is caused by an event beyond the reasonable control of that party, including acts of God, war, civil unrest, government action, pandemic, internet or telecommunication infrastructure failure, denial-of-service attack, or failure of any third-party service or utility.

19. Changes to the Terms

We may amend these Terms from time to time, including to reflect any future change in the legal form of Aide Tech Systems (for example, conversion to a private limited company). The current version is always available at /terms. Material changes will be notified by email and a prominent in-Platform banner at least fifteen (15) days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not accept the changes, you must stop using the Platform and may exercise your refund rights under the Refund Policy.

20. Governing law and dispute resolution

20.1 These Terms are governed by the laws of India, without regard to its conflict-of-law principles.

20.2 Subject to Section 20.3, the courts at the principal place of business of Aide Tech Systems (as recorded in its Udyam Registration) shall have exclusive jurisdiction in respect of any dispute, claim, or controversy arising out of or relating to these Terms or the Platform.

20.3 Where the Consumer Protection Act, 2019 or any other applicable law confers on a consumer-User a non-derogable right to elect a different forum (such as the consumer commission of appropriate pecuniary jurisdiction), that right is preserved and Section 20.2 will not apply to that election.

20.4 As a Micro/Small Enterprise registered on Udyam, Aide Tech Systems is additionally entitled to refer commercial disputes (other than consumer disputes) to the Micro and Small Enterprises Facilitation Council under the Micro, Small and Medium Enterprises Development Act, 2006, where applicable.

20.5 The parties shall attempt in good faith to resolve any dispute amicably within thirty (30) days of written notice of the dispute. Failing such resolution, the dispute shall be referred to the courts described in Section 20.2 (or such other forum elected under Section 20.3 or 20.4).

21. Notices

Notices to you may be sent by email to your registered address, by SMS to your registered phone number, or by in-Platform banner. Notices to us must be sent in writing to legal@projectspilot.com and, where the matter relates to data protection, copied to privacy@projectspilot.com.

22. Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign these Terms in whole or in part to any successor entity, including in connection with a future incorporation of Aide Tech Systems as a company, a merger, acquisition, reorganisation, or sale of substantially all of our assets, on notice to you.

23. Waiver and severability

Our failure to enforce any provision of these Terms shall not be deemed a waiver of such provision. If any provision is held to be unenforceable, the remaining provisions shall remain in full force and effect, and the unenforceable provision shall be replaced with an enforceable provision that most closely reflects the original intent.

24. Entire agreement

These Terms, together with the Privacy Policy, the Refund Policy, and any plan-specific terms communicated at the time of purchase, constitute the entire agreement between you and us in respect of the Platform and supersede all prior agreements, communications, and understandings on the subject.
